Ekosem-Agrar AG: Deferral of interest payment due on 7 December 2022 to noteholders of the Ekosem-Agrar bond 2012/2022

Walldorf, 4 November 2022 – Ekosem-Agrar AG, after consulting e. Anleihe GmbH, the joint representative of both bonds issued by the company, and the company's noteholders' advisory council, has decided to make use of the right resolved at the noteholders' meeting on 30 May 2022 to defer payment of the interest claims of the noteholders of the ESA bond 2012/2022 (ISIN: DE000A1R0RZ5) in the amount of 2.5% due on 7 December 2022 for one year. For this purpose, Ekosem-Agrar AG will declare the corresponding deferral with the execution of the noteholders' resolutions.

The resolutions adopted at the noteholders' meeting on 30 May 2022 cannot yet be implemented due to an action for annulment that has been filed. However, the company has filed an application for release, on which the Karlsruhe Higher Regional Court is to decide in the first and last instance by the end of November 2022 at the latest. The Company assumes that the resolutions of the noteholders' meeting of 30 May 2022 will be executed before the maturity date on 7 December 2022.

Even if the resolutions should only be executed after this date, the ESA bond 2012/2022 will only be redeemed after the end of the extension period and the interest payment for the interest payment period from 7 December 2021 to 6 December 2022 will be suspended.

The deferral of interest claims is necessary because the transfer of liquidity from Russia is not possible in the current difficult political environment.
